Welcome to Blue Seagull Group Corp. (“Blue Seagull Compute,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our website and its waitlist registration form (collectively, the “Site”), operated by Blue Seagull Group Corp., a corporation organized under the laws of the State of Delaware, U.S.A.

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Site.

2. Nature of the Site

The Site is an informational and pre-launch platform intended to provide general information about Blue Seagull Compute and to allow visitors to express interest in future services through a waitlist form.

  • The Site does not currently offer any commercial, contractual, or cloud-computing services.
  • Submitting information through the waitlist does not create any service agreement, reservation, or guarantee of future access to products or services.

3. User Eligibility and Responsibilities

By using the Site, you confirm that you are at least 18 years old and have legal capacity under applicable law.

You agree to:

  1. Provide accurate, current, and truthful information in the waitlist form.
  2. Use the Site solely for lawful, informational, and non-commercial purposes.

All content, design, text, graphics, software, logos, trademarks, and other materials appearing on the Site are the exclusive property of Blue Seagull Group Corp. or its licensors and are protected under U.S., Mexican (IMPI), and international intellectual property laws.

  • The marks “Blue Seagull Compute,” “Blue Seagull Group,” and associated logos are trademarks of Blue Seagull Group Corp., registered or pending registration in the United States, Mexico, and other jurisdictions.
  • You may view and download limited portions of the Site for personal, non-commercial reference only.
  • Any reproduction, modification, or distribution of content without prior written authorization is strictly prohibited.

5. Personal Data and Privacy

a. Data Collection and Purpose

We collect personal data (such as your name, email address, and organization) solely for the purpose of managing the waitlist and communicating updates about future services.

b. Legal Basis and Compliance

Data processing complies with:

  • Delaware Online Privacy and Protection Act (DOPPA) and U.S. federal privacy principles.
  • Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP) in Mexico.
  • General Data Protection Regulation (GDPR) principles for international users.

Your data may be stored on servers located in the United States or other jurisdictions. Cross-border transfers are safeguarded through Standard Contractual Clauses (SCCs) or equivalent legal mechanisms ensuring adequate protection.

To the maximum extent permitted by applicable law:

  • Blue Seagull Group Corp., its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use or inability to use the Site.
  • Our total cumulative liability, if any, shall not exceed one hundred U.S. dollars (USD $100) or the total amount you have paid to us in connection with the Site, whichever is less.

Nothing in these Terms limits liability for gross negligence, willful misconduct, or fraud.

11. Indemnification

You agree to indemnify and hold harmless Blue Seagull Group Corp., its officers, employees, and affiliates from any claim, liability, damage, or expense arising from:

  • Your breach of these Terms; or
  • Your misuse of the Site or violation of applicable law.

We will provide prompt written notice of any claim, and you will not be responsible for our legal fees without your prior written consent.

13. Force Majeure

We are not liable for delay or failure to perform obligations due to causes beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, or pandemics;
  • Labor disputes or governmental actions;
  • Internet or infrastructure outages;
  • Cyber incidents, ransomware attacks, or supply-chain disruptions.

14. Modifications to These Terms

We may update or revise these Terms periodically. Material changes will be communicated by:

  • Posting a notice on the Site; and
  • Notifying registered users via the email address provided, at least 10 days prior to the changes taking effect.

Your continued use of the Site after the effective date constitutes acceptance of the revised Terms.

15. Dispute Resolution and Governing Law

a. Governing Law

These Terms are governed by and construed under the laws of the State of Delaware, U.S.A., without regard to conflict-of-law principles.

b. Arbitration and Venue

Any dispute arising from these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

  • The arbitration will take place in Wilmington, Delaware, in English.
  • Both parties waive the right to a jury trial and to participate in class actions.

If arbitration is found unenforceable, the parties consent to the exclusive jurisdiction of Delaware state and federal courts.

16. Cross-Border Compliance

Blue Seagull Group Corp. operates under U.S. corporate law but acknowledges that users may access the Site from other countries. We commit to respecting local data-protection and consumer-protection laws, including Mexico’s LFPDPPP and comparable frameworks. In case of conflict between local mandatory laws and these Terms, local laws shall prevail only to the extent required by regulation.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Blue Seagull Group Corp. regarding your use of the Site and supersede any prior communications or representations.
